Terms of Sale

Effective Date: January 1, 2026

The following Terms of Sale ("Terms") govern all transactions between PrimeBulkOils.com ("Seller") and the purchasing entity ("Buyer"). By submitting a Purchase Order, the Buyer agrees to these Terms.

1. Scope & Applicability

These Terms apply exclusively to Business-to-Business (B2B) transactions. PrimeBulkOils.com is an export-focused supplier of bulk raw ingredients. We do not sell to individual consumers, and we do not support retail transactions.

2. Quotations & Orders

  • Quotations: All price quotations are indicative and subject to final confirmation by the Seller. Quotes are valid for a specified period (typically 7 days due to market volatility).
  • Order Confirmation: An order is only considered confirmed upon the Seller's receipt of:
    1. A signed Purchase Order (PO) from the Buyer.
    2. The required deposit as stipulated in the Proforma Invoice.
  • No Production Without Deposit: Production and procurement of raw materials will strictly not commence until the deposit has cleared in the Seller's bank account.

3. Pricing & Taxes

  • Prices are quoted per kilogram (USD/kg) or per metric ton (USD/MT) unless otherwise stated.
  • Prices are subject to change based on volume, specific packaging requirements, and logistics costs.
  • Taxes & Duties: The Buyer is strictly responsible for all import duties, taxes, VAT, labeling requirements, and customs clearance fees in the destination country.

4. Payment Terms

Unless expressly agreed otherwise in writing, our standard export payment terms are:

  • 50% Non-Refundable Deposit: Required to confirm the order and schedule production.
  • 50% Balance: Payable against a copy of shipping documents (Bill of Lading) or prior to the release of cargo.

Ownership and title to the goods remain with the Seller until full payment has been received. Late payments may result in shipment delays or warehousing fees.

5. Production & Lead Times

  • Lead times provided are estimates and commence only after receipt of the deposit.
  • The Seller is not liable for delays caused by Force Majeure events, agricultural shortages, third-party processing delays, or global logistics disruptions. Cancellation is not permitted due to reasonable production delays.

6. Quality & Inspection

  • Specifications: Products are supplied according to the agreed Technical Data Sheet (TDS).
  • COA: A Certificate of Analysis (COA) is provided for every batch.
  • Claims: The Buyer must inspect the goods immediately upon arrival. Any quality claims must be raised in writing within 7 days of receipt, accompanied by third-party lab results. After this period, the goods are deemed accepted.

7. No Returns / No Inventory

  • Made-to-Order: All products are manufactured specifically for the Buyer's order to ensure maximum freshness. We do not hold aged inventory.
  • No Returns: Due to food safety and contamination risks, we cannot accept returns of bulk oils once they have left our custody.
  • Cancellation: Orders cannot be cancelled once production has started or raw materials have been procured.

8. Shipping & Risk

  • Shipments are executed according to Incoterms® 2020 rules (e.g., FOB Manila, CIF Rotterdam).
  • Risk of loss transfers to the Buyer at the point defined by the agreed Incoterm.
  • The Seller is not responsible for damage or delays occurring during transit once the goods have been handed over to the carrier. Insurance is the Buyer's responsibility depending on Incoterms.

9. Compliance & Intended Use

  • The goods are sold as raw materials for further processing or repacking.
  • The Seller makes no therapeutic or medical claims regarding the products.
  • The Buyer is solely responsible for ensuring the products meet the regulatory standards of the destination market (e.g., FDA, EFSA) for their specific finished application.

10. Limitation of Liability

The Seller's maximum liability for any claim shall not exceed the invoice value of the goods supplied. Under no circumstances shall the Seller be liable for indirect, consequential, or loss-of-profit damages.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be resolved in the competent courts of the Philippines.
